Referral Program Rules

Program Overview: The Paradigm Systems, LLC Referral Program is offered by Paradigm Systems and provides the opportunity to refer prospective users of Paradigm Systems software, specifically Mercury Flash for Multivalue database administration of UniData and UniVerse from Rocket Software, and OpenQM from Zumasys here in referred to as "software" and receive compensation. You do not have to be a Paradigm Systems customer to participate in the Referral Program.

Program Details: Paradigm Systems will award cash ("Reward") to any Eligible Referrer (as defined below) who refers an Eligible New Customer (as defined below) in compliance with these Referral Program Rules ("Rules"). Rewards will be calculated at 10% of the invoiced amount for the software, with a maximum of $500 per Eligible New Customer. The Reward will be issued 30 days after the New Customer has completed payment for the purchased software. A W-9 tax form must be completed and submitted prior to issuance of the Reward. Paradigm Systems reserves the right to add, modify, split the Reward among multiple Eligible Referrers and/or delete any Rewards and/or requirements to receive any Rewards. Paradigm Systems decision with respect to all aspects of the Cash Referral Program is final and binding.

Definition of an Eligible Referrer: To qualify as an "Eligible Referrer: (1) you must be a legal resident of the fifty (50) United States and District of Columbia, who is 18 years of age or older, and (2) if you are an existing Paradigm Systems customer, your existing account(s) must be active and in good standing at the time of the referral and must remain active and in good standing for a minimum of one full billing cycle, (30) days after the account for the Eligible New Customer that you referred has been activated. Existing Paradigm Systems customers, and former Paradigm Systems customers are prohibited from referring themselves. Business owners are prohibited from referring their respective business(es) and are ineligible to receive a reward. Employees are prohibited from referring their respective employers and are ineligible to receive a reward. (3) If you are not an existing Paradigm Systems customer, and are not the owner of a business that is eligible to use Paradigm Systems Software solutions, you must be a registered Paradigm Systems Referral Partner, as defined below.

Definition of an Eligible Referral Partner: To qualify as an "Eligible Referral Partner: (1) you must have an updated Paradigm Systems Referral Partner Account that has been properly verified, (2) you must have a completed and valid W-9 on file with Paradigm Systems, and (3) you must not be an employee or owner of the respective businesses you refer or of Paradigm Systems partners, reseller, distributor or competitors, (5) you must not be a current vendor of Paradigm Systems.

Definition of an Eligible New Customer: An "Eligible New Customer" is a business that (1) is not currently, and has not been, a Paradigm Systems customer for at least the previous 12 consecutive months, (2) is not already registered as a Paradigm Systems working or active lead in Paradigm Systems records, (3) requests information about or purchases a Paradigm Systems solution on their own while this Referral Program is still active, and (4) that maintains an active Paradigm Systems account in good standing for at least one full billing cycle (billing cycle is 1 complete calendar month) after purchase of Paradigm System software in compliance with Paradigm Systems Terms of Service.

How to Earn Rewards: In order to be eligible to earn Rewards, you must complete the leads referral form at ("Referral Website"). Once you have completed the referral form Paradigm Systems will contact the business and explain the benefits of the software solutions that are available. If we are able to contact the business and they purchase one or more software solutions, and if that referred business ultimately qualifies as an Eligible New Customer, you will be eligible for a Reward in the amount of %10 of the invoiced amount for that software up to a maximum of $500 in which the Eligible New Customer completes a purchases, assuming you meet the definition of a Eligible Referrer above.

If an Eligible New Customer is referred by more than one Eligible Referrer, Paradigm Systems reserves the right to choose who will receive the Reward and/or in their discretion may split the Reward in equal amounts among Eligible Referrers.

By agreeing to these terms and conditions, you agree not to abuse the tools in the Referral Website by conduct which is detrimental to the interests of Paradigm Systems, including without limitation, attempting to make referrals or receive rewards in a manner inconsistent with these Rules or the intent of these Rules, attempting to earn rewards through illegitimate channels, participating in fraud, or tampering with Referral Program or its tools.

Reward Issuance: A W-9 form must be completed, submitted and approved for all Rewards, regardless of method, prior to issuance of Reward. The W-9 form must match the name of the person or company receiving the award. If a valid W-9 form has not been received and approved within one hundred twenty (120) days of Reward eligibility, the Reward will be forfeited. In the event the Eligible Referrer's account has a past due balance, that balance will be deducted from the Reward. Rewards are considered taxable income and are subject too local, state and federal taxes. When the value of the reward items for which you have earned reaches $600 or more in a calendar year, a 1099 tax form will be generated and mailed to you for tax reporting purposes. Paradigm Systems recommends that you keep all statements sent to you for your record keeping purposes.

General Conditions: By participating in the Referral Program, you agree (i) to release, discharge, indemnify and hold harmless Paradigm Systems, its parent, subsidiaries, affiliates, retailers, and advertising and promotion agencies, and all of their respective officers, directors, shareholders, employees and agents (collectively, "Released Parties") from any liability or damages which may arise out of participation in the Referral Program or out of the acceptance, use, misuse or possession of any Reward or products attained through this Referral Program. All applicable federal, state and local laws and regulations apply.

Released Parties are not responsible for late, lost, incomplete, delayed, inaccurate, garbled, undelivered, misdirected referrals or Rewards or other errors or problems of any kind relating to or in connection with the Referral Program, whether printing, typographical, technical, computer, network, human, mechanical, electronic or otherwise, including, without limitation
